Terms of Service

1. Acceptance of Terms
By accessing or using SignUpBreeze ("Service," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are using SignUpBreeze on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, do not use the Service.
The Service is operated by Mikhail Kozlov, doing business as 315Design.com ("Operator").
2. Geographic Eligibility
The Service is intended solely for use by persons and organizations located in the United States. The Service is not available to, and may not be used by:
- Residents of the European Union (EU) or European Economic Area (EEA);
- Residents of the United Kingdom (UK);
- Residents of any jurisdiction that imposes data protection obligations substantially equivalent to the EU General Data Protection Regulation (GDPR) or UK GDPR; or
- Any individual accessing the Service on behalf of any of the above.
By using the Service, you represent and warrant that you are not located in or a resident of any of the foregoing jurisdictions. If you are or become a resident of an excluded jurisdiction, you must immediately discontinue use of the Service. We reserve the right to block access from excluded regions at any time and without notice.
This restriction exists because the Service is operated by a small team and is not currently designed or staffed to comply with the regulatory requirements applicable to the excluded jurisdictions.
3. Description of the Service
SignUpBreeze is a volunteer and event management platform that enables organizers to create events, define shifts or slots, and coordinate attendee sign-ups. Attendees may register for shifts using either a full account or a frictionless magic link (guest checkout) without creating an account.
The Service is available on a freemium basis. A free tier is available for individual organizers with usage limits. Paid plans with expanded capabilities are available for teams and organizations.
4. Accounts and Registration
4.1 Creating an Account
To use organizer features, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your password and accept responsibility for all activity under your account.
- Notify us immediately at [email protected] if you suspect unauthorized access.
4.2 Guest Access via Magic Links
Attendees may register for events and shifts via secure magic links without creating an account. By using a magic link, attendees agree to these Terms to the extent applicable to their use.
4.3 Account Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have parental or guardian consent.
5. Organizations and Teams
The Service supports multi-user Organizations. An Organization owner may invite other users and assign roles. The Organization owner is responsible for:
- All activity conducted by members of their Organization.
- Ensuring that members comply with these Terms.
- Managing member access, including prompt removal of former members.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable local, national, or international law or regulation.
- Collect or store personal data of others without proper authorization or disclosure.
- Impersonate any person or entity, or falsely represent your affiliation.
- Transmit spam, unsolicited communications, or deceptive content.
- Circumvent, disable, or interfere with security features of the Service.
- Scrape, crawl, or systematically extract data from the Service without our express written permission.
- Use the Service to manage events involving unlawful activity.
- Access the Service from a jurisdiction identified in Section 2 as excluded.
We reserve the right to suspend or terminate accounts that violate these policies.
7. Content and Data
7.1 Your Content
You retain ownership of all content you submit to the Service, including event descriptions, shift details, and attendee information ("Your Content"). By submitting content, you grant SignUpBreeze a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the Service.
7.2 Attendee Data
As an Organizer, you are responsible for the lawful collection and handling of attendee personal data gathered through your events. You agree to maintain a clear and accurate privacy notice for your attendees and to use their data only for legitimate event coordination purposes.
7.3 Prohibited Content
You may not submit content that is unlawful, defamatory, harassing, discriminatory, or otherwise objectionable.
8. Free and Paid Plans
8.1 Free Tier
The free tier is subject to usage limits (such as number of events, slots, or registrations) as specified on our pricing page. We reserve the right to adjust these limits with reasonable notice.
8.2 Paid Plans
Paid plans are billed on a subscription basis (monthly or annual). By subscribing, you authorize us to charge your payment method on a recurring basis. Payments are processed by Stripe, Inc. and are subject to Stripe's Terms of Service. All fees are non-refundable except as required by law or as stated in our refund policy.
8.3 Changes to Pricing
We may change pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
8.4 Taxes
You are responsible for all applicable taxes. Prices displayed may exclude taxes unless otherwise stated.
9. Intellectual Property
The Service, including its software, design, trademarks, and content produced by SignUpBreeze, is owned by the Operator and its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our express written permission.
10. Third-Party Services
The Service integrates with or relies on third-party services, including:
- Stripe for payment processing (Stripe Privacy Policy)
- Cloudflare for content delivery and security (Cloudflare Privacy Policy)
- Laravel Cloud for infrastructure and hosting
Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.
11. Availability and Modifications
We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service (or any feature thereof) at any time. For material changes, we will provide reasonable advance notice where practicable.
12. Termination
12.1 By You
You may cancel your account at any time through account settings. Cancellation takes effect at the end of your current billing period for paid plans.
12.2 By Us
We may suspend or terminate your account at our discretion, including for violations of these Terms or for access from an excluded jurisdiction, with or without notice. For non-material violations, we will generally attempt to provide notice and an opportunity to cure before termination.
12.3 Effect of Termination
Upon termination, your right to access the Service ceases. We may retain Your Content for a reasonable period for backup and legal compliance purposes, after which it may be deleted.
13. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, secure, or continuously available.
14. Limitation of Liability
To the maximum extent permitted by law, SignUpBreeze, the Operator, and their affiliates, officers, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of data, revenue, or profits, arising from your use of the Service, even if advised of the possibility of such damages.
Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the greater of (A) the amount you paid to us in the 12 months preceding the claim or (B) USD $100.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Operator and SignUpBreeze from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) your access to the Service from a jurisdiction identified in Section 2 as excluded.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Fulton County, Georgia, under the Commercial Arbitration Rules of the American Arbitration Association (AAA), except that either party may seek injunctive relief in state or federal court in Georgia for intellectual property matters or to prevent irreparable harm. The parties waive the right to a jury trial and to participate in class action proceedings.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the Service at least 14 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
18. Miscellaneous
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Operator regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any provision does not constitute a waiver of future enforcement rights.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights freely.
